These General Terms and Conditions govern the use of the website and services of QuantumlLeap. By using our services, you agree to these terms.
1. Definitions
"Provider"
refers to QuantumlLeap, based in Zurich
"Customer"
refers to any natural or legal person who uses our services
"Services"
includes all AI services provided by QuantumlLeap
"Website"
refers to all web pages under the quantumlleap.com domain
"Content"
includes all texts, images, videos, and other materials
"Contract"
refers to the agreement between the Provider and the Customer
2. Scope of Application
Scope
- These T&Cs apply to all services of QuantumlLeap
- Use of the website is subject to these terms
- Deviating customer terms only apply with express written agreement
- Changes will be announced in due time
3. Use of Services
Eligibility for Use
Requirements:
- • Minimum age of 18 years or legal capacity
- • Truthful information during registration
- • Business use within the legal framework
- • Compliance with all applicable laws and regulations
User Responsibility:
- • Protection of access data from unauthorized access
- • Immediate reporting of security incidents
- • Proper use of the provided services
- • Backup of important data under own responsibility
Prohibited Activities
Users may not use our services for:
- Violation of laws or third-party rights
- Transmission of malicious software or viruses
- Harassment or threats to other users
- Bypassing security measures
- Reverse engineering of our algorithms
- Fraudulent or abusive activities
- Spam or unsolicited communication
- Overloading our systems

5. Prices and Payment Terms
Pricing
Project Prices:
All prices exclude value-added tax
Payment Conditions:
- • Down payment: 50% at project start
- • Final payment: upon project completion
- • Payment term: 30 days net
- • Accepted payment methods: Bank transfer, QR invoice
- • Late fees: CHF 50 from the 1st reminder
- • Default interest: 5% p.a. from the due date
6. Warranty and Liability
Warranty
Service Warranty:
- • Services are provided according to recognized professional standards
- • Algorithms comply with the agreed specifications
- • 90-day warranty on implementation errors
- • Rectification of justified defect claims
Exclusions:
- • No warranty on research results
- • AI performance depends on data quality
- • External factors beyond our control
- • Changes to the systems made by the customer
Limitation of Liability
Scope of Liability:
- • Liability is limited to the paid contract sum
- • No liability for lost profits
- • Exclusion of indirect and consequential damages
- • Intent and gross negligence are excluded from this limitation
Data Protection Liability:
The customer is responsible for the lawful provision of training data. QuantumlLeap is not liable for data protection violations due to faulty customer data.
7. Intellectual Property
Our Rights
- All algorithm designs and implementations
- Documentation and technical specifications
- Website content and design elements
- Trademarks and logos of QuantumlLeap
Customer Rights
- Right to use the developed AI models
- Ownership of provided training data
- Commercial use of the results
- Transfer to subsidiaries is possible
8. Termination
Termination Provisions
Ordinary Termination:
- • Project contracts: Automatically upon completion
- • Support contracts: 3 months to the end of the month
- • Long-term contracts: 6 months
- • Written form required (email is sufficient)
Extraordinary Termination:
- • For breach of essential contractual obligations
- • After an unsuccessful warning with a grace period
- • Payment default over 60 days
- • Insolvency of a contracting party
Important Note: In case of termination during ongoing projects, partial services rendered will be billed proportionally. Already developed models remain with the customer.
9. Dispute Resolution
Jurisdiction and Law
Applicable Law:
- • Swiss law (excluding its conflict of law rules)
- • Swiss Code of Obligations (OR) as the basis
- • Swiss Federal Act on Data Protection (nFADP)
- • GDPR where applicable
Jurisdiction:
- • Exclusive jurisdiction: Zurich, Switzerland
- • For consumers: Domicile of the consumer is possible
- • Arbitration upon agreement
- • Mediation recommended as an alternative
Alternative Dispute Resolution
Before initiating legal proceedings, we aim to find an amicable solution:
Negotiation
Direct discussions between the parties
Mediation
Neutral facilitation by a third party
Arbitration
Binding decision out of court
10. Final Provisions
Severability Clause
Should individual provisions of these T&Cs be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision will be replaced by a valid one that comes closest to the economic purpose of the invalid provision.
Amendments
Amendments to these T&Cs will be communicated to customers in writing at least 30 days before they take effect. If the customer does not object within 30 days, the changes are deemed accepted.
